TenLinks Network Partner Agreement

The following is an agreement between TenLinks, Inc. (hereafter referred to as TenLinks) and Network Partner (hereafter referred to as Partner) to sell advertising. Partner agrees to let TenLinks sell advertising on Partner’s online Property (website, blog, newsletter, or other online media) as defined below.

Ownership

Partner is rightful owner of Property. Partner must own the root domain of the Property.

Revenue Sharing

Partner will get a percent of revenue from the ad sales for advertising TenLinks sells on Property as determined by Revenue Share below.

Revenue Payment and Minimum

Partners will be paid monthly for the previous month. If revenue earned is less than $20, payment will be deferred until the next month.

Direct Sales and Ad Exchange

TenLinks will sell advertising at the highest revenue possible using through direct sales and sell the rest of the inventory using an advertising exchange. Direct sales are based upon published rates in our online media kit, but market conditions and competitive pressures may cause us to sell below published rates. Ad exchanges use programmatic selling and real time bidding to fill excess inventory automatically and theoretically determine the best rate possible.

TenLinks has partnered with Google Ad Exchange (AdX) to use the excess inventory.

Revenue Share

TenLinks Network partners will receive a share of the revenue for the ads placed on their sites.

  1. 40% for ads directly sold by TenLinks
  2. 85% for ads from an ad exchange
  3. 100% for ads directly sold by the Network Partner

Duration

Agreement in effect immediately and until further notice. Either party can terminate contract, by giving minimum of 30 days notice. However, Partner will honor commitments to finish unfinished campaigns.

Partner Agrees to:

  1. Provide accurate Property data and visitor demographics. Should such information not exist, Partner should be willing to install such software that allows such information to be collected.
  2. Install ad serving code provided by TenLinks. 
  3. Keep ad code on site during the duration of this agreement.
  4. Allow TenLinks to insert advertising on Property
  5. Maintain Property to the standard by which it was initially selected.
  6. Property should have no objectionable material such as:
    • Pornographic, adult, or mature content.
    • Violent content.
    • Hate speech (including content that incites hatred or promotes violence against individuals or groups based on race or ethnic origin, religion, disability, gender, age, veteran status, or sexual orientation/gender identity), harassment, bullying, or similar content that advocates harm against an individual or group. Excessive profanity.
    • Hacking/cracking content.
    • Online gambling or online casino-related content.
    • Illicit drugs and drug paraphernalia content.
    • Sale of alcohol.
    • Sale of tobacco or tobacco-related products.
    • Sale of prescription drugs.
    • Sale of weapons or ammunition (e.g., firearms, firearm components, fighting knives, stun guns).
    • Sale of products that are replicas or imitations of designer goods.
    • Sale or distribution of pre-written term papers or student essays.
    • Content regarding programs which compensate users for clicking on ads or offers, performing searches, surfing websites, or reading emails.
  7. Properties should refrain from the following activity
    • Change user preferences or initiate downloads without the user’s express consent
    • Redirect users to unwanted websites
    • Contain pop-ups or pop-unders or any other elements that interfere with site navigation.
    • Have software that can trigger pop-ups
    • Modify browser settings, or otherwise interfere with site navigation.
    • Overlay or create ad space without the express permission of the site owner

TenLinks Agrees to:

  1. Maintain and operate staff for direct selling of advertising
  2. Contract with and maintain relationship with advertising exchange to use remaining ad inventory 
  3. Deal with all TenLinks’ advertising clients, including contracting, collection of revenue, etc.
  4. Obtain creative materials
  5. Insert advertising, monitor campaigns
  6. Keep statistics and issue reports of campaigns served on Property

Inclusion in Ad Campaigns

TenLinks will strive to include Partner in all appropriate ad campaigns in direct selling. Partner understands that their Property may not be included in every directly sold campaign.

Limitation of Liability

Liability is to be limited to revenue and will not include items such as:
(a) Special, incidental, indirect and consequential damages
(b) Loss of data, loss of use, pain and suffering, etc.

No claims are to be made by either party more than 3 months after the end of contract

Use of Trademarks

Either party may use logos, trademarks, in promotional material and press releases, as needed.

Audit Rights

TenLinks reserves the right to not show proprietary materials or trade secrets for its own operations as well as for other Partner sites.

General

This Agreement constitutes the entire and only agreement between the parties and all other prior negotiations, representations, agreements, and understandings are superseded hereby.

TenLInks may modify this agreement at any time.

Use of Google Ad Exchange (AdX) Code

Ad code may not be altered, nor may the standard behavior, targeting, or delivery of ads be manipulated in any way that is not explicitly permitted by Google. Properties may not adjust or alter information that is (a) sent from a client to an AdX tag or ad code or (b) sent from an AdX tag or ad code to a client.

Ad code may not be:

  • Displayed in pop-ups, pop-unders, exit windows, expanding buttons, animation or other similar methods.
  • Obscured by elements on a page.
  • Placed such that content is displayed after a user clicks on the ad but before the user accesses the landing page.
  • Placed on any non-content-based page.
  • Integrated into a software application of any kind, including toolbars.
  • Placed on pages whose content or URL could confuse users into thinking it is associated with TenLinks or Google due to the misuse of logos, trademarks, or other brand features.
  • Placed on, within, or alongside other TenLinks or Google products or services in a manner that violates the policies of that product or service.
  • Placed in email programs or in emails, including but not limited to email newsletters

Ad Placement

Properties will run no more than 5  AdX ads per page,.

Acceptance

Partner must be accepted by TenLinks and by Google and only after that may they use AdX ad code.

Webmaster Guidelines

Properties should include (i) excessive, repetitive, or irrelevant keywords in the content or code; (ii) include hidden text or hidden links; (iii) monetize “doorway” pages created just for search engines, or other “cookie cutter” approaches such as affiliate programs with little or no original content; or (iv) include deceptive or manipulative content or construction to improve Properties search engine ranking (e.g., Property’s PageRank). 

Technical Support

Partners should make support request to TenLinks after first using reasonable efforts to fix any error, bug, malfunction, or network connectivity defect without any escalation to TenLinks.
